I have worked with Norm Seawright on a variety of transactions over a number of years, and I have seen him interact with clients and their advisors in many situations. In some of the situations emotions ran quite high and there was significant tension among the parties and their advisors. All of my experiences working with Norm on transactions have been very positive. Some of those transactions would not have been completed and some would likely have ended in litigation if it was not for Norm’s unique ability to win the confidence of the parties. Norm has a number of skills that together give him a unique ability to help parties come to agreement and get deals done. First, from a technical perspective, Norm is very good at analyzing complex financial situations and determining the appropriate approach to value a company. Second, Norm can look at situation from the perspective of all of the stake-holders and understand what each of them is going to require in order for a deal to happen. Third, Norm is good with people. I have seen him win the confidence of all of the parties to a transaction to the extent that they will follow Norm to a solution even in the face of resistance from their own professional advisors. Finally, Norm knows how to manage a transaction and all of the participants in the transaction and their professional advisors, from the stage of putting together a letter of intent, through and past the closing date. In summary, I would not hesitate to recommend Norm to assist a client with any merger or acquisition transaction, and in particular with transactions which are financially complex or in which the participants do not like each other very much.
